Jurisdiction Notice:

  • “Manuscript” refers to any academic or professional document submitted for editing, proofreading, or review, including but not limited to research papers, journal submissions, conference papers, theses, dissertations, grant proposals, and white papers.

  • “Services” refers to the academic and professional support services provided by ContentXprtz, including but not limited to:

    • Editing and proofreading

    • Dissertation and thesis improvement

    • Journal submission support

    • Research consulting

    • Formatting and compliance assistance

    • Response letter drafting

    • Publication support

  • “Order” refers to a formal request for Services made by a User through the Website or through email, including all related details such as scope, turnaround time, and price.

  • “Deliverables” means the completed or improved version of the submitted manuscript or document, as delivered to the Client by ContentXprtz upon completion of the Services.

  • “Content” means any materials, manuscripts, drafts, instructions, data, or documents provided by the User to ContentXprtz in connection with an Order.

  • “Confidential Information” means all non-public, proprietary, or sensitive information submitted by the User to ContentXprtz, including unpublished research, data sets, or institutional materials, which are to be treated with confidentiality.

  • “Intellectual Property Rights” means all legal rights associated with intellectual creations, including copyrights, moral rights, patents, trademarks, trade secrets, and any other proprietary rights recognized under applicable law.

  • “Force Majeure” means any event or circumstance beyond the reasonable control of either party, which prevents or delays the performance of any obligation under these Terms, including but not limited to natural disasters, war, labor strikes, pandemics, power or internet outages, and governmental actions.

  • “Revision” means a request made by the Client to modify, clarify, or improve the Deliverables within the scope of the original Order.

  • “Plagiarism” means the act of presenting another’s work, ideas, or expressions as one’s own without proper attribution, and includes self-plagiarism, duplication, and falsification of authorship or sources.

  • “Academic Misconduct” includes plagiarism, contract cheating, falsification of research, submission of fraudulent or unethical work, or the misuse of Services to violate institutional or journal policies.

  • “Submission Deadline” means the date by which the Client requests delivery of the completed Deliverables or by which the manuscript must be submitted to a journal, institution, or conference.

  • “Journal Selection” means the advisory service offered by ContentXprtz that recommends academic journals for potential manuscript submission, based on factors such as scope, impact factor, peer review timelines, and publication goals.

  • “Reference Formatting” means the process of editing and structuring references or citations in accordance with specific journal or style guide requirements (e.g., APA, MLA, Chicago, Vancouver, IEEE).

  • “Target Journal Guidelines” means the specific formatting, word count, referencing, and content submission rules issued by a journal where the Client intends to submit a manuscript.

  • “Response Letter” means a formal reply drafted or reviewed by ContentXprtz addressing reviewer comments during the peer-review process of an academic journal.

3: Eligibility

By accessing or using the Website or Services, you represent and warrant that you meet the following eligibility criteria:

3.1 Age Requirement

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services. If you are under this age, use of the Services must be supervised by a parent, legal guardian, or authorized academic advisor.

3.2 Legal Capacity

You must have the legal capacity and authority to enter into a binding agreement with Rudrriv Solutions Private Limited, either:

  • In your personal capacity (e.g., as an individual researcher, PhD scholar, student, or professional), or

  • On behalf of a third party or entity (e.g., university, research institution, journal, governmental body, or funding agency) where you have been duly authorized to do so.

3.3 Geographic Scope

Our Services are available to users globally, except where prohibited by law. It is your responsibility to ensure that your use of the Website and Services does not violate any applicable laws or institutional policies in your country, region, or institution.

3.4 Academic and Research Use Only

You may only use the Services for lawful, ethical, and academically appropriate purposes. You agree not to use the Services to:

  • Violate university or journal policies (e.g., ghostwriting bans, authorship ethics);

  • Engage in contract cheating, plagiarism, or falsification of research;

  • Submit fraudulent data, credentials, or misrepresented authorship.

3.5 PhD Candidates, Researchers, and Professionals

If you are a PhD candidate, postdoctoral researcher, faculty member, or research consultant, you are responsible for ensuring that your use of our Services complies with the requirements of your degree program, department, institution, or funding body.

3.6 Institutional and Government Clients

Institutions, universities, and government agencies engaging ContentXprtz’s Services must ensure that all authorized users accessing services under their account or purchase agreement meet the eligibility requirements set out herein. The institution remains responsible for any breach of these Terms by its representatives.

3.7 Use of Grant or Sponsored Funds

If you are paying for Services using grant funding, scholarships, fellowships, or institutional sponsorships, you represent that:

  • You are authorized to allocate such funds for professional support services, and

  • Your use of the Services complies with the terms and reporting obligations of the grant or funding program.

ContentXprtz does not take responsibility for the internal compliance or audit requirements of any funding organization.

3.8 Collaborative or Multi-Author Submissions

If the manuscript involves multiple authors, all co-authors must be informed of and agree to the use of our Services. The submitting author is responsible for:

  • Obtaining necessary consent from all co-authors, and

  • Ensuring that the final submission reflects the group’s collective approval.

3.9 Proxy Submissions and Authorized Agents

You may submit a manuscript on behalf of another researcher or author only if you are expressly authorized to do so. In such cases, you represent and warrant that:

  • The principal author or copyright holder has consented to your use of the Services on their behalf; and

  • All responsibilities, including approval of Deliverables and ethical compliance, rest with the author or institution you represent.

4. Scope of Services

ContentXprtz provides academic and professional support services designed to enhance the clarity, structure, and presentation of scholarly, technical, and professional documents. The Services are intended to assist researchers, students, professionals, and institutions in preparing high-quality content suitable for submission to academic journals, conferences, universities, and funding agencies.

4.1 Service Categories

We offer the following categories of Services, which may be updated or modified from time to time:

  • Editing and Proofreading
    Language correction, grammar improvement, sentence restructuring, and clarity enhancement while preserving author intent.

  • Substantive Editing
    Deep structural and stylistic review of content, including logical flow, terminology use, and academic tone.

  • Formatting Services
    Compliance with journal or style guide formatting requirements, including citations, references, figures, and layout.

  • Journal Submission Support
    Assistance with manuscript formatting, journal selection, scope matching, and cover letter drafting.

  • Dissertation and Thesis Review
    Language, structure, and formatting support tailored for postgraduate research submissions.

  • Response Letter and Peer Review Support

4.3 Limitations and Exclusions

The following activities are strictly excluded from the Scope of Services and will not be provided:

4.4 Ethical Use of Services

Our Services are designed to support and enhance original academic work in an ethical, responsible manner. The User is solely responsible for ensuring compliance with the academic integrity, authorship, and submission policies of their institution, journal, or funding agency.

4.5 Third-Party Submission or Communication

ContentXprtz does not submit manuscripts or proposals directly to journals, agencies, or institutions on behalf of clients unless expressly agreed in writing. Final submission and correspondence are the Client’s responsibility.

5. User Obligations

By using the Website or engaging any of the Services offered by ContentXprtz, you agree to the following obligations, which apply to all individual and institutional users. These obligations ensure ethical engagement with our Services, protect academic standards, and clarify responsibility.

5.1 Accuracy of Information

You agree to provide accurate, complete, and current information when placing an Order or communicating with ContentXprtz. This includes:

  • Service category and language preferences,

  • Accurate word count, formatting style, and delivery deadlines,

  • Identification of funding sources or publication targets (if applicable).

Failure to do so may result in processing delays or reduced service quality.

5.2 Ownership and Rights

You represent and warrant that:

  • You either own or have been granted the legal right to use and submit all materials you provide,

  • All co-authors, supervisors, or rights holders have consented to the use of our Services,

  • Submitted content does not infringe upon any intellectual property or confidentiality agreements.

If you are acting on behalf of others (e.g., co-authors, researchers, students), you confirm you are duly authorized to do so.

5.3 Academic Integrity

You agree not to use the Services to engage in or support academic dishonesty. This includes but is not limited to:

  • Ghostwriting or submitting content not authored by you,

  • Plagiarism or improper attribution of sources,

  • Altering data, falsifying research, or misrepresenting author contributions.

You are responsible for ensuring that your use of our Services complies with all applicable academic, institutional, and publishing ethics policies.

5.4 Timely Communication

You agree to promptly respond to questions, clarifications, or requests from our editors, project managers, or consultants. Inactivity or failure to provide required information may result in delayed delivery, missed deadlines, or automatic Order closure.

5.5 Use of Deliverables

You agree that:

  • Deliverables are intended for academic, educational, or institutional purposes only,

  • You may not distribute, license, or commercially exploit Deliverables without our written consent,

  • You bear full responsibility for how Deliverables are submitted, cited, or published.

We recommend that you review the final Deliverables for accuracy and compliance with your own institution’s policies before submission.

5.6 Compliance with Laws

You agree to use the Website and Services only in a lawful manner, and not to:

  • Upload, transmit, or distribute illegal, harmful, or infringing content,

5.7 Institutional and Group Orders

If you are using the Services on behalf of a university, lab, funding agency, or research team (“Institutional Client”), the following obligations apply:

  • You must ensure that all individuals using the Services under your agreement or account meet the eligibility criteria outlined in Section 3;

  • You are responsible for managing access, communication, and authorization of individuals submitting documents through your institution’s account;

  • You agree to provide a designated point of contact for coordination and delivery;

  • Unless otherwise agreed, all communications will be sent to the email address provided in the initial Order or agreement.

Institutional Orders that include multiple documents, multiple authors, or multiple departments may require batch scheduling, staggered delivery, or separate invoicing.

5.8 Bulk Service Conditions

For bulk Orders (defined as 5 or more documents submitted together or under a framework agreement), the following terms may apply:

  • Extended turnaround time or phased delivery schedules,

  • Prioritization and scheduling as agreed in writing,

  • Responsibility for maintaining version control across submissions,

  • Volume-based pricing or discounts (if offered) are conditional upon timely payment and clear submission planning.

Bulk clients are encouraged to designate a project coordinator or liaison to streamline communication.

6. Order Process

This section outlines how Orders are initiated, confirmed, processed, and delivered. By placing an Order with ContentXprtz, you agree to follow the process outlined below.

6.1 Placing an Order

Orders may be initiated via:

  • The online form on www.contentxprtz.com;

  • Direct email to our official support team;

  • Institutional channels, such as procurement portals, purchase orders, or service agreements.

Required information includes:

  • A clear service request and document(s) to be reviewed;

  • Preferred delivery date and service level (standard/express/custom);

  • Specific journal or formatting requirements, if applicable.

Incomplete submissions may delay confirmation or require clarification.


6.2 Order Confirmation

An Order is considered confirmed only when:

  • We issue a written acceptance (via email or platform message); and

  • Payment is received in full, or written terms (such as invoice-based payment) are confirmed for approved clients.

We reserve the right to decline or cancel any Order due to conflict of interest, unethical content, or workload capacity.


6.3 Invoicing and Institutional Orders

For approved institutions, universities, labs, or governmental clients, we may allow invoicing subject to the following:

  • Invoices are typically issued upon Order confirmation, payable within 15–30 days, as agreed in writing;

  • Institutional clients must provide valid billing details, tax ID (if applicable), and purchase authorization prior to Order start;

  • Late payments may result in service suspension, interest charges, or denial of future Orders.

We may require a Letter of Engagement, service agreement, or signed institutional authorization prior to work on high-value or multi-phase Orders.


6.4 Digital Signature and Order Authorization

We accept:

  • Electronic signatures on engagement letters, institutional approvals, or custom agreements;

  • Email confirmation (from a verified domain) as valid authorization for service requests and invoice acceptance.

You acknowledge that all digital confirmations, including email and upload submissions, constitute a legally binding Order when accepted by ContentXprtz.


6.5 Third-Party Purchasing and Proxy Orders

If a third party (e.g., a department head, research office, supervisor, or university account holder) places or pays for an Order on behalf of a researcher or student:

  • The person placing the Order confirms they are authorized to act on behalf of the end user;

  • The institution remains liable for payment and adherence to these Terms;

  • The named user must be informed of the Services being requested on their behalf.

We are not responsible for internal miscommunication between purchasers and manuscript authors. Delivery will be sent to the designated contact unless otherwise requested in writing.


6.6 Turnaround Time

Turnaround time is based on:

  • The length and complexity of the document,

  • Service tier selected (standard, express, expedited),

  • When payment or institutional confirmation is received.

Turnaround begins only after full payment or written authorization and all necessary files/instructions have been submitted.


6.7 Communication During the Order

We may contact you for:

  • Clarifications on language, terminology, formatting, or scope;

  • Approval of revisions or formatting samples.

Unanswered queries after a reasonable period (typically 3–5 business days) may result in delivery of the best available version based on provided materials.


6.8 Delivery of Completed Work

Completed documents will be delivered to the registered email address or agreed project contact. Files will include tracked changes and clean versions, where applicable.

Please verify delivery promptly. If no clarification is requested within 5 business days, the Order will be marked as completed.


6.9 Cancellations and Order Changes

Orders may be modified or canceled before work begins. Once editing, formatting, or consultation has started:

  • Cancellations may incur a partial fee, based on the work already completed;

  • Custom or express Orders may be non-refundable, unless otherwise agreed.

Changes to scope or turnaround post-confirmation may require a new quote or Order.

7. Turnaround Time & Delivery

ContentXprtz is committed to delivering high-quality academic services within agreed timelines. This section outlines how turnaround times are calculated, managed, and fulfilled.

7.1 Turnaround Time Initiation

Turnaround time for any Order begins only after all of the following conditions are met:

  • Full payment is received (unless invoicing terms have been approved in writing);

  • All required documents are submitted in final or working format;

  • Service scope and deadlines are clearly confirmed in writing.

If materials or instructions are incomplete, turnaround may be delayed until the issue is resolved.


7.2 Standard vs. Express Services

We offer the following service timelines:

  • Standard Delivery: Typically 4–7 business days depending on document length and complexity;

  • Express Delivery: 24–72 hours, depending on editor availability and word count;

  • Custom Timelines: For large, multi-document, or institutional projects, delivery schedules are agreed case-by-case.

All delivery estimates are business day-based and exclude weekends and public holidays unless otherwise agreed.


7.3 Timezone Considerations

Unless specified otherwise, all turnaround times are calculated in Indian Standard Time (IST) (UTC+5:30). For clients in other regions:

  • Delivery estimates are converted upon request to your local timezone;

  • Urgent delivery expectations should factor in cross-border work hours and response windows.


7.4 Delays Beyond Our Control

We are not responsible for delivery delays resulting from:

  • Late client responses to clarification or feedback requests;

  • Submission of incomplete, corrupted, or incompatible files;

  • Force majeure events (see Section 15), including internet outages, editor illness, or major global disruptions.

If a delay is anticipated from our side, we will communicate it proactively and offer a revised timeline.


7.5 Delivery Method

Deliverables are typically sent via:

  • Email (to the registered client address);

  • Secure download links, if applicable;

  • Shared folders for multi-phase or institutional projects.

You are responsible for ensuring your email system is functional and that our domain is whitelisted to avoid missed messages.


7.6 Failure to Download or Access Files

If you fail to receive or access the Deliverables within 3 business days of delivery notification, please contact us. After 7 business days, we may archive the file and cannot guarantee long-term access or storage.


7.7 Multiple File or Phase Delivery

For large or multi-document Orders, delivery may occur in phases. Each phase is treated as a partial completion and will be billed and delivered accordingly.


7.8 Missed Deadlines

If we miss a confirmed deadline due to our error (not client delay), you may be eligible for:

  • A partial refund or service credit, or

  • An expedited revision at no additional charge.

Any compensation must be requested in writing within 5 business days of the missed delivery.

8. Pricing & Payment

This section outlines how pricing is determined, what payment methods are accepted, and the terms that govern refunds, taxes, and billing.

8.1 Service Pricing

Pricing for our Services is based on factors such as:

  • Word count or page count;

  • Type and complexity of the Service (e.g., basic editing vs. substantive editing vs. consulting);

  • Turnaround time (standard, express, or custom);

  • Subject area specialization, if applicable;

  • Volume (bulk orders may qualify for discounted rates).

Rates are provided either through:

  • The Website’s pricing calculator or quote request system;

  • A custom quote sent via email or agreed institutional proposal.

All prices are provided in INR, USD, GBP, EUR, or AUD, depending on your location or billing preference.


8.2 Payment Methods

We accept the following secure payment methods:

  • International and domestic credit/debit cards (via Stripe, Razorpay, or other processors);

  • Bank transfers (for institutional or bulk clients);

  • UPI (for Indian clients);

  • PayPal (for eligible regions);

8.3 Payment Timing

For individual clients:

  • Full payment is required before work begins on any Order, unless agreed otherwise in writing.

For institutional clients:

  • Payment may be made upon invoice, subject to approval and terms agreed in advance (typically 15–30 day net).

Late payments may incur service delays, interest charges, or account suspension.


8.4 Taxes and Withholding

Prices may be subject to applicable taxes, including:

  • GST (Goods and Services Tax) for Indian clients;

  • VAT or local taxes for EU, UK, or other regional clients.

Institutional clients must provide valid tax exemption certificates or VAT registration numbers where applicable. Clients are responsible for any withholding tax or cross-border remittance fees imposed by their country.


8.5 Currency Conversion and Bank Charges

All fees must be paid in the currency specified in the invoice or Order confirmation. If paying in a different currency:

  • You are responsible for exchange rate differences,

  • You must ensure the full invoiced amount is received after currency conversion or bank deductions.


8.6 Refunds and Cancellations

Refunds are issued under limited circumstances:

  • If work has not yet started, a full refund may be issued;

  • If work is partially completed, a proportional refund may be offered based on the completed portion;

  • If ContentXprtz is at fault (e.g., missed deadline with no response), a partial refund or credit may be offered.

Express, expedited, or custom Orders are non-refundable once processing has begun. All refund requests must be made in writing within 7 calendar days of delivery.


8.7 Disputed Charges

If you believe you were incorrectly charged, you must notify us in writing within 5 business days of the transaction. We will investigate the issue and, if necessary, issue a correction or refund.

Chargebacks or payment reversals made without contacting us first may result in account termination.


8.8 Promotions and Discount Codes

From time to time, ContentXprtz may offer promotional pricing or discount codes. These may be subject to:

  • Expiration dates,

  • Single-use restrictions,

  • Service-type limitations, or

  • Non-combinability with other offers.

Misuse of promotional offers may result in their cancellation and full price being applied.

9. Revision Policy

ContentXprtz is committed to delivering high-quality, publication-ready work. This revision policy defines the scope, timeline, and limits of post-delivery revisions. It also outlines procedures for collaborative projects and institutional accounts.


9.1 Eligibility for Revisions

You may request a revision if:

  • The request pertains to the original Order instructions, and

  • The request is submitted within 5 business days of delivery.

Requests made after this window may require a new Order.


9.2 Included in Free Revisions

We offer one round of free revisions for the following scenarios:

  • Minor language corrections or overlooked editorial points;

  • Clarification or explanation of editorial comments;

  • Adjustments based on original formatting/style guide instructions.

Revisions are typically completed within 2–4 business days.


9.3 Not Included in Free Revisions

The following are outside the scope of free revisions and require a new quote:

  • Requests involving new instructions or updated guidelines;

  • Reviewer or supervisor comments received after delivery;

  • Structural changes or reorganization of content not covered in the original brief;

  • Addition of new sections, figures, references, or substantial rewriting.


9.4 Major Revisions and Resubmissions

If you submit a significantly altered version of your document (rewritten sections, new research findings, different journal requirements), the request will be treated as a new project.


9.5 Revision Limit

Each Order includes one round of free revisions. Further rounds may be offered:

  • At a discounted rate, or

  • As part of a premium package or institutional agreement.


9.6 Submission of Revision Requests

To avoid delays, revision requests must be:

  • Submitted in writing via email or platform,

  • Clearly itemized (e.g., “please revise Section 2 – sentence clarity”),

  • Submitted with the latest file version (preferably with tracked changes or comments).

Ambiguous or general revision requests may be returned for clarification before work begins.


9.7 Multi-Author Submissions

For manuscripts with multiple authors, the following applies:

  • The submitting author is responsible for collecting feedback and consolidating it into a single revision request;

  • Only one consolidated revision request will be accepted per Order, unless otherwise agreed;

  • Delays caused by internal team disagreements or late feedback from co-authors are not the responsibility of ContentXprtz.

If additional revision rounds are needed due to multiple authors’ input being staggered, these may be billed separately.


9.8 Institutional Clients

For institutional or departmental projects (e.g., thesis editing for a cohort, publication support for a lab or research center):

  • The designated liaison or coordinator must act as the single point of contact for revisions;

  • All requests should be submitted collectively — not from multiple individuals within the institution;

  • Phase-wise or batch delivery models may include scheduled revision windows agreed in advance.

Uncoordinated or overlapping revision requests from within the same institution may be deferred until clarification is provided.

10. Intellectual Property

This section governs ownership and usage rights related to all content and Deliverables exchanged between the Client and ContentXprtz (Rudrriv Solutions Private Limited). It also outlines specific terms applicable to collaborative teams, co-authorship, and patent-sensitive submissions.


10.1 Client Ownership of Submitted Content

You retain full ownership of all original content, data, figures, and supporting materials submitted to ContentXprtz. We do not claim ownership over your manuscript, thesis, research findings, or academic output.

You confirm that:

  • You are the legal rights holder or an authorized representative of the submitted content;

  • Your submission does not infringe on third-party intellectual property rights.


10.2 Ownership of Deliverables

Upon full payment, all edited or formatted Deliverables become the exclusive intellectual property of the Client or the Client’s institution, as applicable.

Deliverables may be used for academic, professional, institutional, or publication purposes without restriction — subject to compliance with applicable ethics policies and third-party rights.


10.3 Collaborative Teams and Multi-Author Projects

In cases involving co-authored manuscripts or collaborative submissions:

  • All rights to the Deliverables are assigned collectively to the author group or institution represented in the Order;

  • The submitting party is responsible for ensuring that all team members are informed of and agree to the use of ContentXprtz’s Services;

  • ContentXprtz bears no responsibility for disputes arising from co-author disagreements or internal authorship disputes.

If an institution holds IP rights under contract, university policy, or research grant, ownership of Deliverables transfers accordingly upon delivery.


10.4 Patent-Sensitive Content

If your manuscript, grant, or supporting files include patentable inventions, trade secrets, or non-public technical data:

  • You must notify us in writing at the time of submission;

  • We will take additional confidentiality measures (see Section 11), and

  • We will not use or disclose any such content, in whole or in part, for any purpose other than fulfilling your Order.

You retain all rights related to future intellectual property filings, and ContentXprtz makes no claim to inventive contributions.

We recommend that you do not submit confidential invention disclosures or unfiled patent claims unless necessary for editing purposes.


10.5 ContentXprtz Proprietary Materials

All proprietary methods, editorial frameworks, branding, file delivery formats, templates, and internal tools used by ContentXprtz remain the exclusive intellectual property of the Company. You may not:

  • Reuse these materials in a commercial or derivative work;

  • Reverse engineer or copy editorial processes;

  • Remove branding, formatting markers, or metadata from Deliverables where applicable.


10.6 Use of Client Work for Internal Purposes

We will never use your work for training, marketing, or publishing purposes without your prior written consent.

Anonymized materials may be used for internal editor training only when:

  • All identifiable data is removed, and

  • The content does not include unpublished research, confidential findings, or author names.


10.7 Co-Authorship and Acknowledgment Disclaimer

ContentXprtz does not claim authorship, co-authorship, or contribution credit for any manuscript, thesis, or publication resulting from our Services. We do not appear on publications, acknowledgments, or disclosure statements unless explicitly requested by the Client and approved by us in writing.

It is your responsibility to disclose the use of editorial services to journals, reviewers, or institutions where required.


10.8 Third-Party Content and Licensing

If your content contains copyrighted images, third-party data, questionnaires, or proprietary materials:

  • You are responsible for obtaining and maintaining all necessary rights, permissions, and licenses;

  • ContentXprtz is not liable for unauthorized use of third-party materials submitted by the Client.

11. Confidentiality & Data Protection

11.1 Our Confidentiality Commitment

All content shared with us — including manuscripts, proposals, datasets, and correspondence — is treated as strictly confidential and will not be shared, disclosed, or used for any purpose other than fulfilling your requested Services, unless required by law.

This applies to:

  • Unpublished research and experimental data

  • Grant applications and dissertations

  • Personal identifiers and institutional affiliations

  • Reviewer correspondence and journal targets


11.2 General Data Protection Regulations (GDPR)

For clients based in the European Union (EU) or United Kingdom (UK), we comply with GDPR principles:

  • Lawful, limited data collection

  • Purpose-specific processing

  • Data minimization and accuracy

  • Right to access, correct, or delete personal data

  • Right to withdraw consent at any time

We process your data only when necessary for contract fulfillment, legal obligations, or with your explicit consent.


11.3 United States – FERPA & HIPAA Compliance

For U.S.-based clients submitting sensitive materials:

11.3.1 FERPA (Family Educational Rights and Privacy Act)

If your content includes student academic records, you confirm that:

  • You are authorized to share such records under applicable school, institutional, or research rules;

  • We will treat these records with confidentiality and not retain or distribute them after service completion.

We are not an educational institution or “school official,” but voluntarily apply FERPA-aligned privacy standards.

11.3.2 HIPAA (Health Insurance Portability and Accountability Act)

If your submission includes protected health information (PHI) under HIPAA:

  • You must notify us before submitting any medical or patient-identifiable data;

  • We will only process such data with written assurance that you have the required consent or authorization to share it;

  • ContentXprtz does not sign Business Associate Agreements (BAAs) unless part of a formal institutional or grant-based contract.

For any medical or healthcare editing requests, we strongly recommend anonymizing patient data before submission.


11.4 India – Information Technology Act, 2000

We comply with applicable provisions of India’s Information Technology Act, 2000 and its associated rules, including:

  • Reasonable security practices and procedures

  • Privacy obligations for sensitive personal data (e.g., name, contact info, payment details)

All data is stored and transmitted securely using encrypted systems.


11.5 Proprietary or Sensitive Datasets

If your submission contains proprietary, confidential, or sensitive datasets (e.g., defense-related research, corporate reports, unpublished inventions):

  • You must notify us in writing at the time of Order;

  • We will apply additional access controls and internal restrictions;

  • We will not use, copy, or retain any of the data beyond the service period.

Where applicable, we will comply with institutional confidentiality agreements or NDA requirements.


11.6 Retention and Deletion

Unless otherwise agreed:

  • Files are retained for 30–60 days after delivery to allow for revision or clarification;

  • After that period, files are securely deleted from working systems.

You may request immediate deletion at any time by submitting a written request.


11.7 Secure Infrastructure

  • Files are stored on secure cloud platforms with access control (e.g., Google Workspace, Dropbox Business)

  • Payment data is processed via PCI-DSS-compliant providers (e.g., Stripe, Razorpay, PayPal)

  • Editor access is limited based on project assignment and is monitored


11.8 Editor and Staff NDAs

All editors, freelancers, and in-house staff:

  • Sign confidentiality and non-disclosure agreements (NDAs)

  • Receive internal training on data handling and privacy standards

  • Are contractually prohibited from storing, disclosing, or using any client content outside their role


11.9 Breach Notification Protocol

In the unlikely event of a security or data breach:

  • We will notify affected clients within a reasonable time (typically within 72 hours if required by GDPR);

  • We will investigate, report the root cause, and take corrective actions as needed;

  • If required, we will coordinate with institutional contacts and regulatory bodies.

12. Prohibited Use

To maintain academic integrity, legal compliance, and ethical alignment with international publishing standards, you agree not to misuse ContentXprtz’s Services or platform in any way. The following activities are strictly prohibited:


12.1 Academic Misconduct

You may not use ContentXprtz’s Services to:

  • Engage in plagiarism, contract cheating, or ghostwriting;

  • Misrepresent authorship, data integrity, or original contribution;

  • Circumvent or violate institutional honor codes, thesis submission policies, or journal ethics guidelines;

  • Submit fabricated, manipulated, or undisclosed AI-generated content.

We reserve the right to suspend or reject any Order suspected of facilitating academic dishonesty.


12.2 Misuse of AI Tools

The use of AI tools (e.g., ChatGPT, GPT-based summarizers, AI translation tools) is increasingly governed by academic, journal, and institutional rules. Accordingly, you may not:

  • Submit text that was entirely generated by AI without proper disclosure, where such disclosure is required by your institution or journal;

  • Request that ContentXprtz rewrite or conceal AI-generated content to misrepresent authorship;

  • Use our Services to bypass AI detection systems, plagiarism filters, or manuscript evaluation software.

We support responsible AI usage in research and editing. We do not offer or promote “AI evasion” or unethical rewriting services.


12.3 Violation of Laws or Institutional Policies

You may not use the Services in violation of:

  • University or journal authorship standards;

  • Research integrity policies;

  • Government, grant, or agency disclosure regulations.

It is your responsibility to disclose any use of editorial or consulting services where required (e.g., by journals such as Nature, Elsevier, or Springer).


12.4 Research Ethics and Sensitive Content

You may not submit or request support for:

  • Unethical research studies, including those lacking informed consent or violating human/animal research protocols;

  • Papers involving undisclosed conflicts of interest, retracted data, or false claims;

  • Any content meant to mislead funding bodies, public audiences, or peer reviewers.

We reserve the right to request clarification or decline service for any material raising serious ethical concerns.


12.5 Prohibited Use of Deliverables

You must not:

  • Use edited documents to falsely claim sole authorship when collaboration or AI tools were significantly involved;

  • Submit work to journals, universities, or funders without disclosing appropriate contributions, where such disclosure is ethically required;

  • Resell or redistribute our Deliverables for commercial use unless expressly permitted in writing.


12.6 Breach of Prohibited Use Terms

Violations may result in:

  • Immediate cancellation of Services and future account suspension;

  • Refusal of refunds for completed work;

  • Reporting to relevant institutions or journals, if contractually or ethically required;

  • Legal action where applicable.

13. Disclaimers & Limitation of Liability

The Services provided by ContentXprtz are intended to assist in enhancing the clarity, structure, and formatting of academic and professional documents. However, we make no warranties regarding academic or funding outcomes. This section limits our liability and clarifies important boundaries.


13.1 No Guarantee of Publication or Academic Approval

We do not guarantee that our Services will result in:

  • Publication acceptance by any journal or publisher;

  • Approval of theses, dissertations, or academic submissions;

  • Favorable peer review or editorial outcomes;

  • Compliance with journal formatting rules unless all requirements are provided clearly and in full.

You are responsible for reviewing final documents before submission.


13.2 No Guarantee of Grant or Funding Approval

While we may assist with language editing and presentation of grant proposals, we do not guarantee:

  • Funding success or grant award outcomes;

  • Compliance with technical eligibility or submission rules;

  • Strategic review alignment or score optimization.

Responsibility for research design, scientific rationale, budget accuracy, and grant compliance lies solely with the applicant or principal investigator.


13.3 Institutional Client Disclaimers

For institutional clients (e.g., universities, labs, government departments), we:

  • Act as a third-party service provider — not a co-author, academic partner, or principal investigator;

  • Are not responsible for outcomes related to submissions made using our edited documents or consulting suggestions;

  • Require the institution to verify that our involvement complies with internal procurement, confidentiality, and authorship policies.

If a client institution fails to disclose required use of editorial support (e.g., in a journal submission or funding declaration), ContentXprtz bears no responsibility for reputational or administrative consequences.


13.4 No Authorship or Research Accountability

ContentXprtz is not a contributor or research stakeholder in any project we edit or consult on. We:

  • Do not create or validate hypotheses, data, or interpretations;

  • Do not participate in study design, ethical reviews, or author declarations;

  • Will not be named as authors or contributors on any paper or proposal unless explicitly agreed in writing.

Responsibility for ensuring ethical research, accurate attribution, and compliance with academic integrity lies with the submitting Client.


13.5 Use of AI Tools – Limited and Disclaimed

If AI tools are used to support editing, paraphrasing, or summarization:

  • They are used only in a human-supervised editorial environment;

  • All responsibility for verifying the integrity and originality of the content lies with the Client.

We are not responsible for the impact of AI-assisted edits on originality checks or journal scrutiny.


13.6 Limitation of Liability

To the maximum extent permitted by law, ContentXprtz and its officers, directors, editors, consultants, and agents shall not be liable for:

  • Any loss of opportunity, institutional standing, funding eligibility, or academic status;

  • Any indirect, special, incidental, or consequential damages;

  • Any claim exceeding the total fee paid for the specific Order in question.


13.7 Jurisdictional Exceptions

Some jurisdictions limit how much liability can be excluded. In those regions, this limitation applies to the fullest extent permitted by law.

14. Third-Party Tools and External Links

To support our academic and research-focused clients, ContentXprtz may reference or suggest the use of third-party tools and platforms. These tools are entirely external to our operations, and we make no representations regarding their performance, security, or compliance.


14.1 Informational Resources

You may encounter links or references to:

  • Journal portals (e.g., ScholarOne, Editorial Manager, Elsevier, Springer, Taylor & Francis);

  • Citation and formatting tools (e.g., EndNote, Zotero, Mendeley, RefWorks);

  • AI-assisted tools (e.g., Grammarly, QuillBot, ChatGPT, DeepL, Turnitin, Paperpal);

  • Academic databases or writing platforms (e.g., Overleaf, Google Docs, PubMed, Scopus).

These are provided strictly for reference and convenience. We do not control or endorse these services and are not affiliated with them unless explicitly stated.


14.2 No Responsibility for External Platforms

ContentXprtz does not:

  • Guarantee access to or functionality of any third-party platform;

  • Provide login credentials, upload support, or technical integration with these tools;

  • Accept responsibility for document rejections, formatting failures, or submission delays caused by those systems.

If you experience issues with a journal’s online submission portal, editorial system, or formatting validator, you must contact the platform directly.


14.3 AI Text Editor & Paraphrasing Tool Disclaimer

If you choose to use AI-based tools such as Grammarly, ChatGPT, QuillBot, or similar platforms:

  • You do so at your own discretion and responsibility;

  • You must verify the accuracy, originality, and academic acceptability of any AI-generated or reworded content;

  • ContentXprtz does not modify AI content to deceive detection systems or bypass originality checks.

We do not guarantee that text modified using AI will meet journal ethics requirements, and we strongly recommend reviewing publisher guidelines before submission.


14.4 Citation and Reference Tools

If you rely on reference management tools or citation generators:

  • You are responsible for ensuring references are complete, accurate, and comply with your journal’s style;

  • ContentXprtz may adjust or reformat citations as part of editing, but we do not verify source authenticity or correct citation logic unless explicitly requested.

Automated tools may produce partial or incorrect citations, and it is your responsibility to check them against original sources.


14.5 File Compatibility and Integration

If you upload or share documents using third-party platforms (e.g., Google Docs, Overleaf, Dropbox, OneDrive):

  • You must ensure proper access permissions and document formatting;

  • ContentXprtz is not liable for file loss, incompatibility, or editing issues arising from platform limitations.

We recommend submitting files in editable formats (e.g., .docx or .pptx) unless otherwise agreed.


14.6 Third-Party Terms Apply

Your use of any external tool or linked service is subject to that provider’s terms of service and privacy policy. ContentXprtz:

  • Is not a party to those agreements;

  • Does not monitor or control your data shared with those tools;

  • Disclaims all liability related to their use, data handling, uptime, or results.

15. Force Majeure

ContentXprtz shall not be held liable for any delay or failure to perform its obligations under these Terms if such delay or failure arises from a Force Majeure Event — defined as any cause or circumstance beyond our reasonable control.


15.1 Definition of Force Majeure

A “Force Majeure Event” includes, but is not limited to:

  • Natural disasters (e.g., earthquakes, floods, hurricanes, fires);

  • Pandemic outbreaks, public health emergencies, or government-imposed lockdowns;

  • War, terrorism, or armed conflict;

  • Civil unrest, riots, or political instability;

  • Cyberattacks, denial-of-service attacks, or major infrastructure outages;

  • Power failure, internet disruption, or server downtime affecting communication or file access;

  • Regulatory changes, legal orders, or restrictions imposed by government authorities;

  • Editor illness or unavailability due to emergencies.


15.2 Impact on Services

If a Force Majeure Event occurs:

  • We will promptly notify you of the nature and expected duration of the disruption;

  • Deadlines and delivery commitments may be adjusted in good faith;

  • Partial services already completed may be delivered on a rolling basis or resumed after resolution.

We will make reasonable efforts to resume Services as soon as conditions allow.


15.3 Limitation of Liability

ContentXprtz shall not be liable for:

  • Delays in editing, delivery, communication, or Order confirmation caused by Force Majeure Events;

  • Any loss of academic opportunity, publication window, or funding eligibility resulting from such delays;

  • Failure to meet delivery obligations if circumstances make performance impossible or commercially impractical.


15.4 Client Cooperation

If a Force Majeure Event affects your institution, submission target, or regional infrastructure, you agree to:

  • Inform us of changes to your deadlines or delivery expectations as soon as possible;

  • Cooperate in rescheduling or revising the Order as needed.


15.5 Order Termination Due to Extended Disruption

If a Force Majeure Event continues for more than 30 calendar days:

  • Either party may cancel the affected Order(s) without penalty;

  • Partial refunds may be issued for unfulfilled services, unless significant progress was already made.

16. Termination

This section governs the conditions under which ContentXprtz or the Client may terminate Services, cancel Orders, or suspend account access — including terms specific to institutional and multi-user clients.


16.1 Voluntary Termination by Client

You may request to cancel an Order or terminate your use of the Services by:

  • Contacting us in writing before the Order is fulfilled;

  • Canceling before editing begins (eligible for a full or partial refund per Section 8);

  • Submitting a request to close your account if you no longer wish to use our Services.

Requests to cancel after work has commenced may be subject to partial or no refund based on work completed.


16.2 Termination by ContentXprtz

We reserve the right to cancel any Order or terminate account access, with or without notice, if:

  • You breach these Terms, submit unethical content, or engage in prohibited use (see Section 12);

  • You use misleading payment methods, initiate chargebacks without cause, or provide false identity information;

  • You fail to pay for Services rendered or disrupt the editing process through misuse;

  • You engage in harassment, threats, or unprofessional conduct toward our staff.

We also reserve the right to decline future Orders from any Client or institution for which repeated misuse, misconduct, or payment issues have occurred.


16.3 Inactivity and Order Abandonment

If you do not respond to clarification or revision requests within 10 business days, or fail to submit required materials within 14 calendar days after placing an Order:

  • We may mark the Order as complete or abandoned, with no further obligations;

  • No refund will be issued unless expressly agreed in writing.

Reopening such Orders may require a new engagement or additional fee.


16.4 Institutional and Multi-User Account Termination

For clients using an institutional or team account (including departments, labs, or multi-user licenses), ContentXprtz may:

  • Suspend or restrict access to all users under the account if Terms are violated by any single authorized user;

  • Require a designated account administrator to manage communications and Order approval;

  • Cancel current and future Orders if the institution fails to comply with payment schedules, contractual deliverables, or acceptable use standards.

If an institutional contract is terminated:

  • All pending Orders under that contract may be canceled or paused;

  • Refunds or transfers will follow the terms of the original agreement or master service contract.

Account-level restrictions will be applied uniformly unless we agree in writing to separate user entitlements.


16.5 Termination for Legal or Operational Reasons

We may cancel Services or suspend access:

  • If required by court order, regulation, or compliance with academic/governmental rules;

  • If ongoing service becomes commercially impractical due to external conditions (see Force Majeure).

In such cases, we will provide notice and issue any applicable refunds for unfulfilled work.


16.6 Effect of Termination

Upon termination:

  • You must discontinue access and use of our platform and Deliverables;

  • All unpaid fees become immediately due unless otherwise waived;

  • We will remove or archive your content per our Data Retention Policy (see Section 11);

  • Any team or institutional user accounts under a terminated contract will be deactivated.

17. Governing Law, Jurisdiction & Dispute Resolution

These Terms, and any dispute arising under them, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.


17.1 Jurisdiction

Unless otherwise agreed in writing, you agree that:

  • All disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India;

  • Any claim must be initiated within one (1) year from the date the cause of action arises.


17.2 International Users

If you access or use the Website or Services from a location outside India:

  • You do so at your own risk and are responsible for compliance with local laws;

  • These Terms will still be governed by Indian law and resolved in India unless otherwise agreed;

  • ContentXprtz does not guarantee compliance with the legal standards of jurisdictions outside India.


17.3 Optional Arbitration Clause

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, either party may choose to resolve the dispute through final and binding arbitration, rather than through court proceedings.

Arbitration Rules:

  • The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 (India);

  • The venue of arbitration shall be New Delhi, India;

  • The language of arbitration shall be English;

  • The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. If parties cannot agree, the arbitrator shall be appointed in accordance with applicable law.

Each party shall bear its own costs associated with arbitration, unless otherwise directed by the arbitrator.

Note: Either party may still seek interim or injunctive relief from a court of competent jurisdiction if necessary to prevent irreparable harm.


17.4 No Class Actions

You agree that any dispute resolution proceedings shall be conducted only on an individual basis, and not as part of a class, consolidated, or representative action.


17.5 Institutional Agreements

If you are an institutional client operating under a separate contract:

  • The governing law, jurisdiction, or dispute resolution method outlined in that agreement will apply;

  • In the absence of such a contract, these Terms control.

18. Miscellaneous / General Provisions

18.1 Entire Agreement

These Terms, along with any referenced policies (e.g., Privacy Policy, Refund Policy) and applicable written agreements (e.g., Institutional Service Agreements), constitute the entire agreement between you and ContentXprtz regarding your use of the Services, and supersede all prior oral or written communications.


18.2 Amendments

We reserve the right to update or modify these Terms at any time. Any changes will:

  • Be posted on this page with a “last updated” date;

  • Become effective immediately for new Orders, and within 10 calendar days for ongoing Clients unless otherwise stated.

We encourage you to review this page periodically. Continued use of the Services after changes implies acceptance.


18.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from ContentXprtz.

We may assign or transfer our rights to an affiliate, successor, or acquirer in connection with a merger, acquisition, restructuring, or sale of assets.


18.4 No Waiver

Failure by ContentXprtz to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.


18.5 Severability

If any part of these Terms is found to be invalid or unenforceable by a court or arbitrator:

  • The remainder of the Terms shall remain valid and enforceable to the fullest extent permitted by law.


18.6 Survival

Provisions that, by their nature, should survive termination or expiration of this agreement shall do so, including but not limited to:

  • Confidentiality (Section 11)

  • Intellectual Property (Section 10)

  • Disclaimers and Limitations of Liability (Section 13)

  • Governing Law & Dispute Resolution (Section 17)


18.7 Language

These Terms are written in English. Any translated versions are for convenience only. In the event of conflict or inconsistency, the English version shall prevail.
